Terms of Service

1. Definitions
"Verilic", "we", "us", or "our" refers to Verilic Pte. Ltd., a company incorporated in Singapore.
"Platform" means the Verilic web application, APIs, and related services.
"User", "you", or "your" refers to any individual or organisation that accesses or uses the Platform.
"Tenant" means the organisation account under which Users operate.
2. Acceptance of Terms
By accessing or using the Platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Platform.
We may update these Terms at any time. When material changes are made, we will notify you in-app and require your renewed acceptance before you can continue using the Platform. Continued use after acceptance constitutes agreement to the updated Terms.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must be at least 18 years old and have the authority to bind your organisation to these Terms if registering on behalf of a company.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
- Upload false, misleading, or fraudulent document information.
- Attempt to gain unauthorised access to any part of the Platform or another Tenant's data.
- Use the Platform to store or transmit malicious code.
- Reverse-engineer or attempt to extract the source code of the Platform.
- Resell or sub-licence access to the Platform without our written consent.
5. Subscription and Billing
Access to the Platform is provided on a subscription basis. Fees are as published on our website and are subject to change with 30 days' notice.
All payments are processed in Singapore Dollars (SGD) unless otherwise stated. Subscriptions automatically renew unless cancelled before the renewal date.
Refunds are not provided except as required by applicable Singapore law, including the Consumer Protection (Fair Trading) Act.
6. Data Ownership and Licence
You retain ownership of all data, documents, and content you upload to the Platform ("Your Content"). By uploading content, you grant Verilic a limited, non-exclusive licence to process and store Your Content solely to provide the Platform services.
We do not sell Your Content to third parties. We process personal data in accordance with our Privacy Policy and the Personal Data Protection Act 2012 (PDPA).
7. AI Features
The Platform uses AI-powered extraction to assist with document processing. AI outputs are provided for convenience only and may contain errors. You remain solely responsible for verifying the accuracy of any AI-extracted information before relying on it for compliance or legal purposes.
8. Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by applicable law.
9. Limitation of Liability
To the maximum extent permitted by Singapore law, Verilic's total liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you in the 3 months preceding the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
10. Indemnification
You agree to indemnify and hold harmless Verilic and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Platform, your breach of these Terms, or your violation of any applicable law.
11. Termination
Either party may terminate the subscription at any time. Upon termination, your access to the Platform will cease. We will retain your data for 30 days post-termination, after which it will be permanently deleted unless you request an earlier deletion.
We may suspend or terminate your account immediately if you breach these Terms or if required by applicable law.
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
Any dispute arising from these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, the dispute shall be referred to the Singapore Mediation Centre before commencing court proceedings in Singapore.
